Governance

Transparent Governance for Irreproachable Ethics

Transparency · Integrity · Responsibility — at every level of the organisation.

At EMPYRA MINING INNOVATIONS (EMI), we firmly believe that technical excellence cannot exist without exemplary governance. Our model is built on a founding triptych: transparency in our decisions, integrity in our actions, and accountability at every level of the organisation.

In a mining sector undergoing profound transformation — under the combined pressure of international financiers, local communities and national regulators — governance is no longer a formality. It is a competitive advantage and a promise kept to every stakeholder.

The Five Pillars of Our Governance

Each principle reflects a concrete, measurable commitment — applied from the prospecting phase through to site closure.

01

Rigorous Compliance

EMI scrupulously adheres to the Cameroonian Mining Code (Law No. 016/2016), ISO 20305 and ISO 14001 standards, the IRMA framework, and the requirements of the EITI. Compliance is not a floor — it is our starting line.

02

Separation of Powers

An independent board of directors oversees operational management, ensuring balanced, traceable decisions free of conflicts of interest. Each hierarchical level is backed by a clear line of accountability.

03

Integrated Risk Management

Ethical, environmental and social risks are identified, assessed and addressed proactively through a dedicated committee. This framework is activated from the prospecting phase and follows each project through to site closure.

04

Internal Control & Audit

Regular internal and external audits guarantee the reliability of our financial and non-financial information. Results feed into a documented continuous improvement process.

05

Stakeholder Rights

EMI guarantees accessible, independent and effective grievance mechanisms, as well as meaningful whistleblower protection, in line with best international practices.

Our Commitments in Writing

Every EMI employee, partner and subcontractor is required to comply with our Code of Conduct. This document, available on request, formalises our commitments across four key pillars:

Anti-Corruption
Elimination of Forced Labour
Respect for Human Rights
Responsible Environmental Management
Governance is not a constraint — it is the foundation on which we build trust with our clients, our communities and our financiers.
